Infineon pays 260 million euros

Litigation on the economic re-establishment of shell companies and asset impairment liability continues

September 29, 2014, Newquay News – Infineon Technologies AG has settled out of court with the insolvency administrator of Qimonda AG, and resolved all disputes by paying a settlement of approximately EUR 135 million. Pending adjudgement of litigation concerning the economic re-establishment of shell companies and asset impairment liabilities (“spread responsibilities”). In addition, Infineon will acquire all the patents of Qimonda AG for EUR 125 million.

The settlement reached now ends the following litigation and other disputes between the Infineon and Qimonda bankruptcy administrators: (1) Infineon and its licensees dispute the continued use rights of Qimonda's patents; 2) The claims for termination given by the insolvency administrator to the Munich District Court; and (3) Any other claim filed by the insolvency administrator, provided that these claims are not related to the economic re-establishment of shell companies and asset impairment liability lawsuits. This partial settlement complies with Infineon regulations. Existing liquidity will be used to pay settlement funds.

The completion of settlements and patent acquisitions also needs to comply with relevant legal requirements and is expected to be completed in the next quarter.

The controversy between the two parties on the economic re-establishment of shell companies and asset impairment liability brought by the Munich District Court has not yet been settled.
